Sudarshan Chemical buys 15.89% Stake in Sudarshan Colorants

Sudarshan Chemical Industries Limited (NSE: SUDARSCHEM)

SUDARSCHEM
has bought a 15.89% direct stake in Sudarshan Colorants India Limited for ₹150.76 crore. It acquired 3,668,036 shares from its wholly-owned subsidiary, Sudarshan Europe B.V. The deal was an off-market inter-promoter transfer. The consideration works out to roughly ₹411 per share (my calculation from the figures above). Why it matters: Sudarshan Europe B.V. now holds none of the Indian company directly. The parent holds the stake itself, so the Indian operating company sits one step closer to the Indian parent. The transfer was done under the inter-se promoter exemption in SEBI’s takeover regulations. My view: this is housekeeping, not a change in control. Total promoter holding in Sudarshan Colorants India is unchanged, so public float and the promoter group’s economic interest stay the same. The money moves between two group entities, so I see no external dilution. The source does not say how the parent funded the payment, and that is the one detail I would want to see. The move also fits the post-acquisition clean-up after the October 2024 agreement to buy Heubach Group’s global pigment business for ₹1,180 crore, where Heubach Colorants India was renamed Sudarshan Colorants India. What I am watching: integration progress on the global pigment operations, and the next quarterly results of both Sudarshan Chemical and Sudarshan Colorants India. Raw material price swings and supply chain disruption are the main risks to pigment margins.
