Prestige Estates Acquires Allure Developers for ₹524 Cr
PRESTIGE has entered into a share purchase agreement to acquire a 100% stake in Allure Developers Private Limited for a cash consideration of up to ₹523.76 crore. Following the transaction, Allure Developers has become a wholly owned subsidiary of Prestige Estates. The acquisition is aimed at developing a residential project in Sector 150, Noida, Uttar Pradesh, strengthening Prestige’s presence in the National Capital Region (NCR). The transaction is expected to be completed on or before seven working days, with the consideration payable in tranches. Allure Developers, incorporated in 2013, is engaged in real estate development. Its reported turnover stood at ₹1.23 million (₹12.3 lakh) in FY26, compared with ₹0.1 million in FY25 and FY24. The relatively low historical turnover indicates that the acquisition’s value is primarily linked to the residential development opportunity rather than its existing operating revenue. The transaction is not classified as a related-party deal, and Prestige has stated that its promoter group has no interest in the acquisition. No governmental or regulatory approvals have been indicated as necessary. For investors, the acquisition could provide Prestige with an additional development opportunity in Noida, a market supported by infrastructure growth and evolving residential demand. Key monitorables include project launch timelines, sales bookings, construction execution, cash deployment and the potential return on investment. Learning Takeaway: Real estate acquisitions may involve entities with limited historical turnover when the underlying value lies in land or development potential. Investors should evaluate project economics, launch timelines, cash outlay, sales absorption and expected returns rather than relying only on the acquired entity’s past revenue.
