Bajaj Finance Board Clears ₹17,500 Crore Capital Raise

BAJFINANCE
Bajaj Finance’s board on 1 October 2026 approved plans to raise up to ₹17,500 crore. This includes a Qualified Institutions Placement (QIP) of equity shares worth up to ₹11,700 crore and a preferential issue of convertible warrants aggregating ₹5,800 crore exclusively to promoter Bajaj Finserv. The QIP will issue equity shares of face value ₹1 each to qualified institutional buyers. The warrants, also of ₹1 face value, require at least 25% payment on allotment, with the balance 75% payable on conversion within 18 months, as per SEBI norms. Both proposals need shareholder approval via an extraordinary general meeting and other regulatory clearances. The funds aim to strengthen the company’s capital base for growth. Bajaj Finserv’s board has separately cleared its investment in the warrants on a private placement basis.
