LT Foods to acquire Kameda's 49% KLT stake

Limited has entered into a Share Purchase Agreement with Kameda Seika Co., Ltd. to acquire its entire 49% stake in Kameda LT Foods (India) Private Limited. The transaction will increase LT Foods' holding from 51% to 100%, making Kameda LT Foods a wholly owned subsidiary. The acquisition will be for ₹1.12 crore in cash and is expected to be completed by December 31, 2026, subject to applicable requirements and regulatory filings. Kameda LT Foods was established in 2017 as a joint venture between LT Foods and Kameda Seika. The company manufactures and sells rice-based snacks in India, including Kaki Kari, KRiSPY HOPU and Okaki. Its turnover increased from ₹7.36 crore in FY24 to ₹14.32 crore in FY25 before standing at ₹14.03 crore in FY26. The key change is the move from a joint venture to full ownership. LT Foods will gain complete control over the business, giving it greater flexibility over product strategy, distribution and future investment decisions. The transaction follows Kameda Seika's agreed exit from the joint venture. In my view, the acquisition is strategically positive, but the immediate financial impact appears limited based on the disclosed numbers. The ₹1.12 crore consideration for the remaining 49% stake is relatively small compared with Kameda LT Foods' FY26 turnover of ₹14.03 crore. However, turnover does not indicate profitability, and the filing does not disclose the subsidiary's profit or margins. The key trigger is whether full ownership helps LT Foods scale its rice-based snack business. Investors should watch revenue growth, product expansion, distribution and profitability following the acquisition.
