Affle 3i Limited to acquire Perion for $420 million
Affle 3i Limited has agreed to acquire Israel-based Perion Network Limited for an implied equity value of $420 million in an all-cash deal. Perion shareholders will receive $11.70 per share, with completion expected in early 2027, subject to regulatory and shareholder approvals.
The acquisition will combine Perion's advertising technology across retail media, connected TV and digital out-of-home advertising with Affle's AI-powered mobile marketing and consumer conversion capabilities. Affle expects the combined platform to serve thousands of advertisers across more than 100 countries.
Perion reported cash of approximately $228 million and no financial debt as of September 30, 2026.
Affle plans to fund the deal through committed bank financing and available cash. It expects to remain net debt-free immediately after the acquisition and achieve a revenue run rate exceeding $700 million in FY28. The company also expects the deal to become earnings-per-share accretive by the end of the first year after closing.
My view: The strategic fit is clear, but the financial benefits will depend on execution. Perion gives Affle access to advertising channels beyond mobile, while Affle's cost-per-converted-user model could help advertisers measure actual consumer conversions rather than just ad impressions or clicks.
The key question is whether these capabilities translate into profitable growth. Perion's existing cash balance provides some financial support, but integration costs, acquisition financing and changes to revenue recognition remain important factors to monitor.
Affle shares closed at ₹1,345 on the BSE on November 1, down 2.72%. The immediate focus should be on deal approvals, funding costs and evidence of margin improvement. I would wait for greater clarity on earnings contribution before drawing a firm conclusion on the acquisition's valuation impact.
