ICIL to Sell ₹9,300 Crore Bharti Airtel Stake via Block Deal

Indian Continent Investment Ltd (ICIL), a Sunil Mittal-led promoter group entity, is set to offload a 0.8% stake in Bharti Airtel through a block deal, selling 5 crore shares at ₹1,862 per share (3% below market price), raising approximately ₹9,300 crore. Post-sale, ICIL’s holding will drop from 2.47% to 1.67%, though the overall promoter group stake will remain above 51%, including holdings via Bharti Telecom. This is ICIL’s second major divestment in a year—following a ₹8,485 crore stake sale in February 2025. Proceeds may support strategic initiatives, including Mittal’s proposed ₹6,000 crore investment (with Warburg Pincus) for a 49% stake in Haier India, and recent global moves like the $4 billion acquisition of a 24.5% stake in UK’s BT Group. Despite a 46% sequential drop in Q1 FY26 net profit to ₹5,948 crore, Bharti Airtel reported strong performance with consolidated revenue at ₹49,462 crore and India EBITDA margin at 56.3%. Rising ARPU (₹250) and pan-India growth signal robust fundamentals. The block deal, advised by Jefferies and JP Morgan, reflects the Bharti group’s strategy to rebalance capital and fund new ventures while maintaining firm control over Airtel. Investor interest remains high ahead of potential IPOs and global expansion plans.
