Kiri Industries Subsidiary Acquires 40% Stake in Philippines
Kiri Industries Limited, through its wholly-owned subsidiary Equinaire Holdings Limited (EHL), has successfully acquired a 40% equity stake in Philippines-based Makilala Mining Company, Inc. for USD 5.01 million via a public foreclosure auction.
Key Highlights:
Debt-to-Equity Conversion: EHL transitioned from a secured creditor (holding a USD 9.76 million loan) to a 40% equity owner after a Philippine court denied Celsius Resources' petition to block the September 8, 2026, auction.
Strong Financial Backdrop: The acquisition is backed by a massive financial turnaround, with Q1 FY27 consolidated net profit surging to ~₹290 crore (from a ₹51 crore loss in Q1 FY26) and revenue up 55% YoY to ₹312.36 crore.
Strategic Rationale:
Upstream Integration: The stake secures direct access to critical copper ore/concentrate, ensuring a stable raw material supply for Kiri’s upcoming Indo Asia Copper processing facility.
Capital Deployment: The move demonstrates Kiri’s aggressive pivot into heavy industrial segments, systematically deploying the USD 689 million cash windfall from its finalized DyStar legal settlement into value-accretive, capital-heavy assets.
Risks & Market Outlook:
While the acquisition bypasses standard market premiums to secure a critical upstream asset at an attractive valuation, short-term legal uncertainty remains. Celsius Resources is reportedly preparing to pursue arbitration to challenge the foreclosure. However, successful resolution will significantly diversify Kiri away from the cyclical risks of the specialty chemicals business, strengthening its long-term asset base and triggering potential valuation rerating as its vertical integration in the copper value chain materializes.
