**Adani Green Subsidiaries Partner with RSWM for Captive Solar Power Investment**
Adani Green Energy Limited (AGEL) on **October 31, 2025**, announced that its subsidiaries have executed **investment agreements with RSWM Limited** to advance captive renewable energy projects. The agreements were signed between **Adani Renewable Energy Holding Eighteen Ltd** and **Adani Solar Energy Jodhpur Six Ltd** for one project, and **Adani Renewable Energy Holding Four Ltd** and **Adani Renewable Energy Forty One Ltd** for another, with RSWM acting as the captive user.
Under the arrangement, RSWM Limited will acquire **a minimum 26% equity stake** in each project to comply with captive power consumption norms, ensuring eligibility under India’s Captive Rules. After project completion, Adani subsidiaries will retain a controlling majority — **98.37% in Generator 1** and **97.67% in Generator 2** — while RSWM will hold **1.63% and 2.33%**, respectively.
AGEL confirmed that its subsidiaries will have the **exclusive right to appoint all directors** on the respective project boards. Furthermore, in the event of termination of the Power Consumption Agreement, Adani entities reserve the **right to buy back RSWM’s equity**. The transactions are **not related-party in nature** and remain subject to standard regulatory approvals.
This collaboration marks another step in Adani Green’s strategy to **expand captive solar infrastructure**, supporting industries in reducing carbon emissions and improving energy self-reliance.
