• Shekhar Bajaj to step down as Executive Chairman effective 31 Dec 2026; will become Non-Executive Director and Chairman Emeritus from 1 Jan 2027, subject to shareholder approval • Sudarshan Sampathkumar, currently an Independent Director, appointed Non-Executive Chairman effective 1 Jan 2027, subject to shareholder approval • Sanjay Sachdeva will continue as Managing Director & CEO and remain responsible for day-to-day operations, while the Non-Executive Chairman will lead the Board • New structure creates a clearer separation between executive management and Board leadership, with focus on governance, performance oversight, succession and risk management • Bajaj family will continue as long-term promoter and shareholder, with Shekhar Bajaj, Pooja Bajaj and Nirav Bajaj continuing on the Board Impact: Neutral — The move is primarily a governance and succession restructuring, with continuity in day-to-day management as the MD & CEO remains unchanged.
