Bajaj Finance plans ₹17,500 crore capital raise

Research Analyst: UJVIN NEVATIA (PROPRIETOR: NEVAT INVESTMENTS) | SEBI Registration No.: INH100009628 Bajaj Finance Limited (

BAJFINANCE
) plans to raise up to ₹17,500 crore through a combination of a ₹11,700 crore QIP and a ₹5,800 crore preferential issue of warrants to promoter Bajaj Finserv. What happened? The board approved the proposed fundraise on October 1, 2026. The QIP will issue equity shares to qualified institutional buyers. Separately, Bajaj Finserv will subscribe to warrants worth up to ₹5,800 crore. The proposals require shareholder approval and other applicable regulatory approvals. Why does it matter? For an NBFC, additional equity capital can support loan-book expansion while providing a stronger capital base. Bajaj Finserv's participation also allows the promoter to support the fundraise while maintaining control of Bajaj Finance. My view The size of the proposed raise is significant and can provide Bajaj Finance with capital to support future growth without relying entirely on incremental borrowings. However, raising equity also increases the share capital base. The eventual impact will depend on the issue price, the pace at which the new capital is deployed and the returns generated on that capital. What I am watching next I would track shareholder approval, the final QIP pricing and allotment, warrant conversion and the company's subsequent loan growth. Return on equity, capital adequacy and asset quality will indicate whether the additional capital is being deployed efficiently.
