Sun Pharma Raises ₹10,000 Crore for Organon Acquisition

Sun Pharma ( !SUNPHARMA )Raises ₹10,000 Crore for Organon Deal — What Investors Should Watch Sun Pharmaceutical Industries is raising ₹10,000 crore through two tranches of rupee-denominated bonds to partly refinance bridge loans taken for its proposed $11.75 billion acquisition of US healthcare company Organon. The fundraising is a key step in managing the financing of Sun Pharma’s largest acquisition to date. Key Fundraising Details - Total bond issue: ₹10,000 crore. - First tranche: ₹7,000 crore at an annual coupon of 8.20%. - Second tranche: ₹3,000 crore at 8.05%, with a put option in 2028. - Both tranches are expected to mature in 2031. - CRISIL has assigned the proposed non-convertible debentures a AAA/Stable rating. - Sun Pharma is expected to use $2–2.5 billion from its cash surplus and internal accruals for the acquisition, with the balance funded through debt. Why Does the Organon Deal Matter? Organon reported revenue of $6.2 billion and adjusted operating profit of around $2 billion in calendar year 2025, according to the CRISIL report. Its portfolio adds scale in women’s health and biosimilars, potentially strengthening Sun Pharma’s global business. My View The acquisition could expand Sun Pharma’s global reach and diversify its portfolio, but the financing structure deserves close attention. Replacing short-term bridge financing with bonds helps manage the funding timeline; it does not eliminate the debt burden. Investors should monitor interest costs, debt reduction, integration progress and whether Organon contributes enough cash flow to support the enlarged business. The strategic opportunity is significant, but value creation will depend on execution and disciplined capital allocation. The key question is whether the acquisition’s incremental earnings and cash flows justify the financing cost and integration risks.
