Adani Wilmar Limited (now often referred to as AWL Agri Business): Latest Updates

AWL
Promoter Group Reclassification On March 6, 2026, the company received formal approval from both the BSE and NSE for a massive reclassification of its shareholding structure. A total of 218 entities previously listed under the "promoter and promoter group" have been moved to the "public" category. This includes major entities like Adani Enterprises Limited and Adani Total Gas, marking the final administrative step in the Adani Group's exit from the venture. Adani Group’s Full Exit The Adani Group has officially completed its divestment from the company to focus on core infrastructure. Adani Enterprises fully exited its 44% stake through a series of transactions concluded in late 2025 and early 2026, totaling approximately ₹15,729 crore. Wilmar International (through its subsidiary Lence Pte Ltd) has now become the majority shareholder with a stake of approximately 64%. Q3 FY26 Financial Results For the quarter ended December 31, 2025, the company reported its highest-ever quarterly revenue of ₹18,603 crore, a 10% year-on-year (YoY) increase. However, Net Profit declined 35% to ₹269 crore (down from ₹411 crore). Profitability was hit by a 279-basis-point contraction in gross margins due to higher input costs in palm oil and a one-time exceptional charge of ₹25.83 crore related to new labor code implementations. Strategic Expansion into Value-Added Foods To reduce its reliance on low-margin bulk oils, the company is aggressively expanding its FMCG portfolio. It recently moved toward completing the acquisition of an 80% stake in GD Foods, the maker of the "Tops" brand of ketchups and pickles. This acquisition adds eight new product categories to its stable and is part of a larger $1 billion fund set aside for strategic acquisitions in the spices and ready-to-cook segments.
