Zydus Lifesciences has entered into an agreement to acquire US-based Assertio Holdings in an all-cash transaction valued at nearly $166.4 million (around Rs 1,600 crore), strengthening its presence in the specialty and oncology segments in the United States. As part of the agreement, Zydus will purchase all outstanding shares of Assertio at $23.50 per share through a tender offer, which will be followed by a merger, the company said in a statement. The acquisition is expected to be completed in FY27, subject to regulatory approvals and shareholder consent. Following the completion of the deal, Assertio will be delisted from Nasdaq. The acquisition will provide Zydus with immediate access to an established US specialty commercial platform, including oncology-focused relationships and distribution networks. The company aims to use this infrastructure to expand its footprint in the high-value specialty pharmaceutical market. Under the transaction structure, Zydus will first acquire a majority stake from shareholders through the tender offer and subsequently complete a second-step merger to purchase the remaining shares at the same offer price.
