imited has announced two key moves through its wholly owned subsidiary Nanomi B.V. in the Netherlands to strengthen its international pharmaceutical footprint.
In the first development, Nanomi has entered into definitive agreements to acquire an additional 43.38% stake (11,794,497 shares) in Multicare Pharmaceuticals Philippines, Inc. (MPPI) from existing shareholders for up to $39.6 million.
Nanomi currently holds 56.28% in MPPI, a company engaged in the trading, importing, marketing, and distribution of pharmaceutical products and medical devices in the Philippines. Upon completion of this transaction — expected by the end of May 2026, subject to closing conditions — Nanomi’s stake in MPPI will rise to approximately 99.66%, bringing the Philippine arm close to full ownership.
In a separate update, Nanomi has successfully completed the full acquisition of VISUfarma B.V., Netherlands, effective April 1, 2026. As a result, VISUfarma and its subsidiaries have now become wholly owned subsidiaries of Nanomi. The move, which was originally announced in 2025, bolsters Lupin’s specialty ophthalmology portfolio and European commercial presence with VISUfarma’s innovative eye health products and established infrastructure across key markets.
