Narayana Hrudayalaya Limited (NHL), one of India’s leading hospital chains, has announced a major corporate restructuring with the board approving the demerger of its clinical services business into a separate entity.
In a regulatory filing on December 12, 2025, the company informed stock exchanges that the Scheme of Arrangement involves transferring the clinical services undertaking from NH Integrated Care Private Limited (NHIC) – the demerged entity – into Narayana Hrudayalaya Limited (NHL) as the resulting company.
The move aims to streamline operations, unlock value in distinct business verticals, and provide greater focus on core hospital and healthcare delivery services.
Key Highlights of the Demerger:
The clinical services business currently housed under NHIC will be spun off.
Post-demerger, Narayana Hrudayalaya Limited will directly hold and operate the clinical services vertical.
The restructuring is subject to approval from shareholders, creditors, NCLT, and other regulatory authorities.#WatchOutFor#StockInNews#Budget2025
