The deal, executed through IHC's arm Avenir Investment RSC, involves issuing 330 million equity shares and 306.7 million convertible warrants at Rs 139 apiece—well below the prevailing market price—sparking concerns over significant equity dilution. By 9:55 AM IST, the stock was trading at Rs 162.59, marking a 4.1% decline from the previous close. This move comes after the scrip had surged over the prior week, buoyed by broader market optimism in the financial sector. The strategic investment, valued at approximately USD 1 billion, positions IHC as a major stakeholder in one of India's prominent NBFCs. Post-allotment, Avenir is set to command a 43.46% holding through over 63 crore shares. The transaction also mandates an open offer under SEBI regulations, allowing IHC to acquire an additional 26% stake from public shareholders on the expanded capital base, potentially elevating its ownership to nearly 70%. While the infusion is touted as a vote of confidence in Sammaan Capital's growth trajectory, market watchers remain cautious. Analysts from CNBC Awaaz highlighted that the discounted pricing could erode the company's book value substantially, dropping it from the current Rs 250-260 range to around Rs 200-210 per share. "The big equity dilution at lower levels is the primary drag," they noted, projecting limited upside even with a conservative 0.9x price-to-book multiple and anticipated Rs 3,000 crore write-offs in FY26.
