SMC Global Securities Approves ₹150 Crore NCD Issue

SMCGLOBAL
has approved the prospectus for its public issue of secured, rated, listed and redeemable Non-Convertible Debentures (NCDs), with a total issue size of up to ₹150 crore, including a green shoe option. The approval was granted by the company's Non-Convertible Debenture Committee on September 28, 2026. The issue comprises a base issue size of ₹75 crore, with an option to retain oversubscription of an additional ₹75 crore under the green shoe option. Each NCD carries a face value of ₹1,000, taking the maximum proposed issuance to 15 lakh NCDs. The proposed NCDs have received an ICRA A (Stable) credit rating for an amount of up to ₹512.79 crore. The securities are proposed to be listed on BSE, which has already granted in-principle approval for the issue. The principal and interest obligations will be secured through a pari-passu charge over the company's trade receivables and Margin Trading Facility (MTF), subject to existing secured charges. The company will maintain a minimum security cover of 110% of the outstanding principal and interest obligations until the final settlement date. The company has stated that the NCD tenure, coupon rates, redemption amount and payment schedule will be governed by the prospectus dated September 28, 2026.
