The company received the Letter of Intent on November 19, 2025. Strategic Rationale & Synergies This acquisition represents a critical backward integration step following JSW Energy’s successful acquisition of KSK Mahanadi Power Company Ltd (KMPCL) in March 2025. Asset Utility: RCRIPL owns the essential rail infrastructure required for coal transportation to KMPCL’s power plants in Chhattisgarh. Capacity Security: The infrastructure supports KMPCL’s 1,800 MW operational thermal plant and an additional 1,800 MW unit currently under construction. Operational Moat: By controlling the logistics arm, JSW Energy effectively de-risks the fuel supply chain for KMPCL, ensuring operational stability and cost efficiencies for its massive 3.6 GW thermal portfolio. Status: The transaction is subject to final approval from the National Company Law Tribunal (NCLT). Financial Performance Snapshot (Q2 FY26) While the company consolidates its asset base, recent financial performance presents a mixed picture: Consolidated Growth: Consolidated EBITDA rose 67% YoY to ₹3,180 crore, driven by contributions from the Mahanadi project and organic renewable capacity additions. Profitability: Net Profit for the quarter stood at ₹705 crore, a decline of 17.4% YoY. However, EBITDA margins expanded to 57.9% (up from 52%). Liquidity & Balance Sheet: The company maintains a robust balance sheet with cash and cash equivalents of approximately ₹6,181 crore. Cash returns on adjusted net worth remain healthy at 20%, with a comfortable receivable cycle (DSO) of 64 days. Market Reaction The stock closed at ₹504.95 on the BSE (November 20, 2025), reflecting a marginal correction of 1.67%.
