Aegis Logistics Restructures ₹525 Crore Ammonia Terminal

Aegis Logistics has transferred its newly commissioned ammonia storage terminal at Pipavav Port to its step-down subsidiary Aegis Terminal (Pipavav) for ₹525 crore through a slump sale on a going-concern basis. The Business Transfer Agreement was signed on August 24, 2026, with the consideration payable upon execution, and the transaction is expected to be completed on the same day. The facility, commissioned on August 10, 2026, has a static storage capacity of 36,000 metric tonnes and is designed for specialised ammonia storage. The transaction is a related-party transaction undertaken on an arm’s-length basis and is outside a Scheme of Arrangement. Since the terminal was commissioned after March 31, 2026, its contribution to turnover and net worth as of that date was not applicable. The company also stated that the transaction will not alter its shareholding pattern. The restructuring places the terminal under ATPL, whose operations include storage and terminalling facilities for oil, chemicals and petroleum products, while Aegis Logistics continues to focus on shore-based tank farm infrastructure across the oil, gas, chemicals and petrochemical sectors.
