The purchase price is payable at closing, with adjustments for working capital and deferred payments tied to performance earn-outs over two years; the deal awaits customary approvals and is slated to close by end-March 2026. The target firm generated $53 million in revenue for the year ended December 31, 2024 (Brazil GAAP), specializing in end-to-end IT services including design, implementation, managed services, security, and lifecycle optimization, supported by approximately 230 employees . Management anticipates synergies in the LATAM market, with the acquired business expected to add ₹50 crore to Black Box's EBITDA in FY27.
