Honasa Consumer Ltd, ($HONASA) the parent company of brands such as Mamaearth and The Derma Co, has announced its entry into the nutraceuticals segment by acquiring a 58% stake in Fluence Pharma Pvt. Ltd. at an enterprise value of around ₹135 crore, subject to closing adjustments and regulatory conditions. The company plans to acquire the remaining 42% stake in two phases over the next 5–7 years. Founded in 2012 and headquartered in Mumbai, Fluence Pharma is a science-led nutraceutical company known for its patented Cyclical Nutritional Therapy and condition-specific OTC supplement kits marketed under the brands Hair Fact, Skin Fact, and Pro Fact. Hair-related products contribute over 70% of its revenue, and the company has built a doctor-led network of more than 3,000 dermatologists with over 10 years of in-clinic performance. Fluence Pharma reported revenue from operations of ₹32.24 crore in FY23, ₹35.99 crore in FY24, and ₹37.21 crore in FY25. To further strengthen its presence in the category, Honasa has also approved the incorporation of a wholly owned subsidiary, Honasa Health Pvt. Ltd., with an initial paid-up capital of ₹1 lakh comprising 10,000 equity shares of ₹10 each. The move reflects Honasa’s strategy to diversify beyond traditional personal care products and build a stronger presence in the growing consumer health and science-backed wellness market.
