HUL Ice Cream Demerger Cleared by NCLT

’s plan to demerge its ice cream business into Kwality Wall’s (India) Ltd (KWIL) under a court-sanctioned scheme of arrangement, removing the key legal hurdle for a focused, stand-alone ice cream company in India. The move ring-fences brands such as Kwality Wall’s, Magnum and Cornetto within a pure-play structure, enabling sharper governance, capital allocation and growth execution tailored to the category’s cold-chain, freezer rollout and seasonal dynamics. Following the order, HUL will transfer the business assets, people, plants and distribution into KWIL, with continuity for consumers and trade partners through the transition as execution milestones like record dates and asset transfers are sequenced. Shareholder frameworks indicate a 1:1 entitlement for HUL investors in the new entity and a pathway to separate listing, subject to remaining regulatory and implementation steps.
