Lloyds Engineering Takes Control of SISCOL Through ₹626.40 Crore Acquisition
Lloyds Engineering Works Ltd has strengthened its engineering and infrastructure portfolio by acquiring a 51.13% controlling stake in Steel Infra Solutions Company Ltd (SISCOL) for a total consideration of ₹626.40 crore, with the transaction completed on August 17, 2026. The acquisition involved ₹127.34 crore in cash for 10.39% of SISCOL, while the remaining 40.74% stake will be acquired through the issue of 7,00,42,458 Lloyds Engineering shares to SISCOL’s sellers at ₹71.25 per share, representing a share-swap value of up to ₹499.05 crore.
SISCOL operates in heavy steel fabrication and infrastructure solutions across the energy, infrastructure and industrial sectors, offering design, engineering, fabrication, site installation and project management services. With six production facilities, including its recently opened Hyderabad facility, SISCOL has an annual fabrication capacity of 100,000 tonnes.
Financially, SISCOL reported a turnover of ₹816.87 crore and net profit of ₹43.42 crore in FY26, compared with turnover of ₹636.10 crore in FY25 and ₹573.49 crore in FY24. Lloyds Engineering expects the acquisition to expand its capabilities and product portfolio, create operational synergies and improve its ability to pursue larger turnkey and EPC projects. The company also plans to explore filing the Draft Red Herring Prospectus for a potential future listing of SISCOL within 30 months from completion of Stage 1 of the transaction.
