has signed a definitive agreement to acquire a 58.96% stake in SML Isuzu Ltd. for ₹555 crore, aiming to scale up its presence in the commercial vehicle (CV) segment above 3.5 tonnes. M&M will purchase the 43.96% stake held by Sumitomo Corporation and 15% held by Isuzu Motors at ₹650 per share, reflecting a 63% discount to the last closing price. Additionally, M&M has launched an open offer at ₹1,554.6 per share to acquire 26% from public shareholders, a 13% discount.
This acquisition is expected to double M&M’s current 3% market share to 6%, with targets to expand it to 10–12% by FY31 and 20% by FY36. SML Isuzu brings a strong foothold with a 16% market share in the ILCV bus segment, ₹2,196 crore in FY24 revenues, and ₹179 crore EBITDA. The deal is aligned with M&M’s strategy to invest in high-growth sectors and unlock synergies across product portfolio, distribution, manufacturing, and brand strength.
