Persistent Systems takes Nagarro stake to 83.25%
Persistent Systems Limited has raised its stake in German IT company Nagarro SE to 83.25%, strengthening its control ahead of a planned delisting. The company acquired an additional 61.15% stake, or 7,568,145 Nagarro shares, through its voluntary public takeover offer at EUR 81 per share.
Persistent Systems already held 22.10% through its agreement with Lantano Beteiligungen GmbH. The latest acquisition takes its holding well above the 50% plus one share threshold required under the takeover offer.
An additional acceptance period will run from September 23 to October 6, 2026. Nagarro shareholders who have not yet tendered their shares can accept the EUR 81 cash offer during this period.
Persistent Systems also plans to pursue the delisting of Nagarro from the Prime Standard of the Frankfurt Stock Exchange. The transaction is expected to close by the end of Q1 CY2027.
My view is that the bigger issue is not the 83.25% ownership number itself, but whether Persistent can convert this acquisition into faster growth without putting too much pressure on its balance sheet.
Management is targeting mid-teen or higher growth over the next two to three years, while also working on funding of up to $1.25 billion for the transaction. That makes integration, funding cost and Nagarro's growth recovery more important to track than the headline stake increase.
Persistent Systems Limited closed at ₹5,366 on September 22, down 1.52%. I would watch the stock around ₹5,300 to ₹5,400 and track the next updates on funding, transaction closure and Nagarro's growth trajectory through October 6.
