Pidilite Ventures exits Pepperfry via share-swap; takes minority stake in TCC Concept

Pidilite Ventures Pvt. Ltd. (PVPL), a wholly owned subsidiary of

, has transferred its entire stake in Pepperfry Ltd. to TCC Concept Ltd. through a 100% share-swap transaction. As a result of this swap (linked to TCC’s acquisition of shares in Pepperfry), PVPL now holds a 2.20% equity stake in TCC Concept, effectively converting its exposure from a direct holding in Pepperfry into a small ownership position in the acquiring entity. The company stated the deal does not qualify as a related-party transaction and added that PVPL’s promoter and promoter group have no interest in TCC Concept, positioning the move as an arms-length portfolio reallocation rather than an intra-group restructuring.
