Tata Motors CV Moves Ahead With Iveco Tender Offer
Tata Motors CV has commenced a voluntary tender offer to acquire all issued common shares of Italy-based Iveco Group at €14.10 per share, implying a company value of approximately €3.82 billion. The transaction is backed by fully committed bridge financing from Morgan Stanley Bank, Morgan Stanley Senior Funding and MUFG Bank, while Iveco’s largest shareholder, Exor, has irrevocably committed its 27% stake and 43.19% of voting rights; the Iveco board has also unanimously supported the offer.
The tender offer opens on September 7, 2026, with shareholders expected to vote in October, and is aimed at acquiring 100% of Iveco’s common shares and delisting it from Euronext Milan. The move comes as Tata Motors CV continues to expand its international commercial vehicle operations, with total CV sales rising 49% YoY to 44,411 units in August 2026 from 29,863 units in August 2025, while international CV sales jumped 227% YoY to 7,792 units from 2,382 units.
Tata Motors CV’s stock has also gained over 43% over the past year, despite declining on Friday’s trading session. From an equity research perspective, the Iveco transaction represents a significant step in Tata Motors CV’s global expansion, with the outcome dependent on shareholder approval and completion of the tender process.
