Zydus Lifesciences Extends Sterling Biotech API Acquisition Timeline While Addressing USFDA Compliance
Zydus Lifesciences Ltd has extended the completion deadline for acquiring the Active Pharmaceutical Ingredient (API) business of Sterling Biotech Ltd to September 30, 2026, as the seller is still fulfilling certain conditions under the Business Transfer Agreement (BTA). The acquisition was earlier scheduled to close by June 30, 2026, after both companies had already mutually extended the original timeline in December 2025, and the transaction is now expected to be completed on or before the new deadline. Separately, the company recently received a USFDA warning letter related to its formulation manufacturing facility in Baddi, Himachal Pradesh. According to the company, the warning is linked to a request for records under Section 704(a)(4) of the US Federal Food, Drug and Cosmetic Act and is not the result of an on-site inspection. The observations relate to the use of purified talc that did not meet the latest United States Pharmacopeia (USP) standards. Zydus stated that the warning is not expected to affect current operations or product supplies from the Baddi facility. The plant was last inspected by the USFDA in August 2025 and received an Establishment Inspection Report (EIR) in October 2025 with a Voluntary Action Indicated (VAI) classification.
