Adani Ports' €2.56 billion Evos deal expands

Adani Ports and Special Economic Zone Limited (NSE: ADANIPORTS) has agreed to acquire 100% of Netherlands-based Evos B.V. at an enterprise value of €2.56 billion. Evos generated €219 million of CY25 EBITDA at a 56% margin, operating eight terminals across five European countries. What happened The proposed all-cash acquisition will give ADANIPORTS a liquid-storage platform with 6.3 million cubic metres of capacity and 37 million tonnes of annual throughput. Evos operates across the Netherlands, Germany, Spain, Belgium and Malta. The transaction values Evos at 11.7 times its CY25 EV/EBITDA. Although the payment to the sellers is in cash, ADANIPORTS plans to fund the transaction through debt. The company's pro forma net debt-to-EBITDA ratio is estimated at 2.76 times after the acquisition, with management expecting it to reduce to around 2.5 times by FY27. Why it matters This is a strategic move beyond conventional port handling. Evos adds high-margin liquid storage operations and exposure to energy-transition products such as sustainable aviation fuel, biofuels and methanol. The trade-off is the acquisition multiple and higher leverage. A high-quality asset can still become an expensive acquisition if financing costs, integration or future capital requirements dilute returns. What to watch next Track regulatory approvals, completion of the transaction, integration of the European terminals and progress in reducing net debt-to-EBITDA towards 2.5 times by FY27. Cash generation from the acquired business will be more important than the increase in global footprint alone. Stance: Strategically positive, but valuation and debt-funded execution need close monitoring. The acquisition strengthens the long-term business mix, although the benefits must translate into sustainable free cash flow.
