Affle's $420 million Perion deal expands its ad-tech reach
Affle 3i Limited (NSE: AFFLE), through its step-down subsidiary, has agreed to acquire Perion Network Limited (NASDAQ: PERI) at an implied equity value of approximately US$420 million. Perion shareholders will receive US$11.70 per share, with the transaction expected to close in early 2027, subject to approvals. What happened The proposed all-cash acquisition gives Affle access to Perion's advertising technology and its established presence in North America. Perion operates across retail media, connected TV and digital out-of-home advertising. Affle's existing strength is in performance-led mobile marketing and consumer conversions, particularly in emerging markets. Why it matters The strategic opportunity is to connect upper-funnel advertising with measurable consumer conversions. If the platforms integrate well, Affle could offer advertisers a broader set of channels and potentially improve campaign economics. However, this is a sizeable cross-border transaction. Perion had approximately US$228 million in cash and no financial debt as of 30 September 2026. Affle plans to fund the acquisition through a combination of bank financing and available cash. Management expects the combined business to be EPS-accretive by the end of the first year after closing and has indicated a FY2028 revenue run-rate target above US$700 million. These remain management expectations, not assured outcomes. What to watch next The key milestones are Perion's go-shop process, shareholder and regulatory approvals, final financing terms, and integration progress. The real test will be whether the acquired business contributes sustainable growth and margins without putting pressure on Affle's balance sheet. Stance: Strategically positive, but execution and financing sensitive. The acquisition thesis should be judged on post-deal profitability and cash generation, not just the increase in addressable market
