Aegis Logistics to Sell 51% Stake in HALPG to Associate Firm for ₹702 Crore
Aegis Logistics Limited has approved the sale of a 51% stake (6,21,146 shares) in its step-down subsidiary Hindustan Aegis LPG Limited (HALPG) to Aegis Vopak Terminal Limited (AVTL), an associate company, for ₹701.61 crore. The transaction, subject to shareholder approval, is expected to close by January 15, 2026.
Post-sale, HALPG will no longer be part of Aegis Logistics’ consolidated structure. In FY25, HALPG contributed ₹168.13 crore in turnover (2.49%) and held a net worth of ₹447.24 crore (10.07%) of the parent’s total.
The deal is a related-party transaction but has been executed on an arm’s length basis, complying with SEBI norms.
In a related move, AVTL also approved acquiring a 96% stake in Aegis Terminal (Pipavav) Ltd for ₹4.8 lakh, to be completed by November 30, 2025.
These moves signal a strategic portfolio restructuring within the group, streamlining operations in the LPG and terminal logistics space, with potential implications for future focus and financial performance.
