Bajaj Auto Completes Acquisition of KTM, Becomes Majority Owner

Bajaj Auto Ltd has completed its €800 million acquisition of a majority stake in Austrian motorcycle maker KTM, following approval from the European Commission on November 10, 2025. The deal marks Bajaj’s transition from a minority investor to a controlling shareholder in the global high-performance bike brand. Through its wholly-owned subsidiary Bajaj Auto International Holdings BV (BAIH), the company acquired all shares of Pierer Bajaj AG (PBAG) from Pierer Industrie AG, making PBAG a 100% owned step-down subsidiary. As a result, Bajaj now holds a 74.9% controlling stake in Pierer Mobility AG (PMAG), the parent of KTM AG, which is listed on stock exchanges in Zurich and Vienna. The restructured entities have been renamed: Pierer Bajaj AG → Bajaj Auto International Holdings AG PIERER Mobility AG → Bajaj Mobility AG This strategic shift ends the Pierer Group’s control and paves the way for deeper integration between Bajaj and KTM in R&D, manufacturing, and global expansion. The supervisory and management boards of PBAG, PMAG, and KTM have also been reconstituted, signaling a new phase of leadership. With this milestone, Bajaj Auto strengthens its position in the global premium motorcycle segment, leveraging KTM’s technology and brand equity to drive innovation and growth beyond India.
