The proposed merger between Devyani International (DIL) and Sapphire Foods India, announced on January 1, 2026, will create India’s largest food and beverage company, with projected annual revenues exceeding $1 billion, Ravi Jaipuria, Non-Executive Chairman of DIL, said in an analyst call on January 6. The combined entity will unify operations of iconic QSR brands—KFC, Pizza Hut, Costa Coffee, Vango, and Biryani by Kilo—under a single platform, achieving pan-India reach across multiple formats. Deal Structure: Sapphire shareholders get 177 DIL shares per 100 held; Sapphire’s Mauritius promoter stake (~25%) is being unwound—18.5% sold to RJ Corp affiliate at ₹280 floor price, rest swapped into DIL. One-time cost: ₹320 crore payment to Yum, offset by recurring synergies. With 45% of KFC sales coming from home delivery, technology and speed are critical levers for growth.
