IIFL Finance Approves ₹800 Crore NCD Issuance via Private Placement

IIFL Finance Limited has received board committee approval to raise up to ₹800 crore through the private placement of Non-Convertible Debentures (NCDs) in two distinct series. Series 1 comprises unsecured, subordinated, redeemable NCDs with a base size of ₹200 crore and a green shoe option of ₹500 crore, allowing for a total potential issuance of ₹700 crore. These will have fixed tenures as per the offer document. Series 2 includes unsecured, perpetual NCDs with a base size of ₹50 crore and a green shoe option of ₹50 crore, enabling an additional ₹50 crore based on demand. Both series are rated, listed on NSE, and unsecured, targeting institutional investors seeking long-term or structured debt instruments. The perpetual nature of Series 2 enhances capital stability, while Series 1 offers flexibility for investors preferring defined maturity. The issuance complies with SEBI LODR regulations and ensures transparency through disclosures on the company’s website. This move strengthens IIFL Finance’s funding mix and supports its growth strategy amid evolving market conditions.
