JSW Energy to Raise ₹3,000 Crore via Preferential Issue, Seeks Shareholder Approval

JSW Energy has scheduled an Extraordinary General Meeting (EGM) on January 3, 2026, to seek shareholder approval for a ₹3,000 crore preferential issue and broader fundraising of up to ₹10,000 crore. The EGM, to be held via video conferencing, will also approve the issuance of equity shares and convertible warrants to JTPM Metal Traders Limited, a promoter group entity. The preferential issue comprises: 95.2 lakh equity shares at ₹525/share (₹500 crore) 47.6 crore warrants (₹2,500 crore), each convertible into one share within 18 months This will raise capital at ₹525 per unit and increase JTPM’s stake from 0.27% to 3.43% on a fully diluted basis. Additionally, the company seeks authorization to raise up to ₹10,000 crore through equity, GDRs, FCCBs, debentures, or ADRs by January 2027—part of a larger ₹13,000 crore combined fundraising plan. The EGM will also approve related-party transactions worth ₹2,500 crore with Toshiba JSW Power Systems for its Salboni 2x800 MW thermal project in West Bengal. JSW Energy has appointed Chandrasekaran Prabhakaran as CFO, effective January 18, 2026. The issue price of ₹525 complies with SEBI norms, based on a floor price determined as of December 4, 2025. This capital raise underscores JSW Energy’s aggressive growth strategy across thermal and renewable projects, backed by strong promoter support and expanded funding flexibility.
