KPI Green Energy Limited, through its subsidiary Sun Drops Energia Limited, has approved the acquisition of up to 100% equity in DEK and Mavericks Green Energy Limited (DMGEL) for a total valuation of ₹55.8 crore. Key Deal Highlights: Transaction Structure: The acquisition will be settled entirely through the issuance of ~15.9 lakh Compulsorily Convertible Preference Shares (CCPS), resulting in zero immediate cash outflow. Target Profile: DMGEL is an independent solar Engineering, Procurement, and Construction (EPC) and project development firm, which will now become a step-down subsidiary of KPI Green Energy. Strategic Rationale: Vertical Integration: The move brings critical solar EPC and execution capabilities in-house, reducing reliance on external contractors and minimizing project execution delays. Capital Discipline: Structuring the deal as a share swap preserves the group's cash reserves for other capital-intensive growth initiatives while still expanding capabilities.
