Torrent Pharma Approves ₹12,500 Crore Private Placement of Non-Convertible Debentures

Torrent Pharmaceuticals has received board committee approval to raise up to ₹12,500 crore through the private placement of secured, rated, listed, and redeemable non-convertible debentures (NCDs). The move, disclosed via a regulatory filing after a committee meeting on Monday, underscores the company’s strategy to strengthen its capital structure and fund future growth initiatives through debt financing. The issuance may be structured in one or more tranches, offering flexibility in timing and market conditions. As secured instruments, the NCDs will be backed by company assets, enhancing investor confidence. This follows Torrent’s major ₹19,500 crore acquisition of J B Chemicals in June 2025, signaling continued strategic expansion in the domestic pharma space. The latest fundraising is expected to support integration, R&D, and potential future acquisitions without diluting existing shareholders. The initiative highlights Torrent Pharma’s proactive approach to capital management as it consolidates its position among India’s leading pharmaceutical players.
