Welspun Corp Files $35.5–43.5 Million Arbitration Claim Against Wasco Over Breach of Shareholder Agreement

Welspun Corp Limited has initiated arbitration proceedings under the ICC Rules in London against Wasco Coatings Limited and Wasco Energy Limited, claiming damages of USD 35.5–43.5 million. The dispute arises from a 2015 Shareholders Agreement (SHA) related to their joint venture, Welspun Wasco Coatings Private Ltd. Welspun alleges that Wasco Coatings violated a key clause by failing to notify and offer Welspun the option to acquire a 25% stake in a new concrete weight coating plant in Qatar, established around 2019. This omission allegedly deprived Welspun of a valuable investment opportunity in the Middle East. The claim includes both monetary compensation for lost opportunity and non-monetary reliefs. Despite the legal action, Welspun remains financially strong—its total equity rose 20.6% to ₹4,299.5 crore (FY25), with investments up 32.5% to ₹1,950.5 crore, reflecting robust financial health to support such disputes. The outcome will be critical in clarifying rights under international joint ventures and may influence future collaboration dynamics in the global oil & gas infrastructure space.
