Persistent clears threshold in Nagarro takeover offer

Persistent Systems Limited (PERSISTENT) confirmed it has met the minimum acceptance threshold for its takeover of Germany's Nagarro SE, as of September 17, 2026. The all-cash offer values Nagarro at roughly €1.1 to €1.27 billion. Persistent launched its takeover offer at €81 per share, a premium of about 140% to Nagarro's undisturbed closing price before announcement. The company had already secured a roughly 21 to 22% stake through a binding agreement with Nagarro's largest shareholder, and needed acceptances covering 50% plus one share of the remaining stock. That threshold was confirmed met when the acceptance period closed on September 17. The number worth focusing on is the premium itself, 140% over the undisturbed price. A premium this large sets a high bar for the deal to actually prove itself accretive, since Persistent is paying well above where the market had Nagarro valued before the offer. A "cash EPS accretive in year one" claim needs Nagarro's actual margin profile and integration costs to hold up against that premium, not just the combined revenue figure the deal creates on paper. What I am watching next is the additional acceptance period running through October 6, and whether Persistent crosses toward full ownership or settles closer to the minimum threshold, since that affects integration control and whether a domination agreement becomes relevant later. My stance: a major, now largely confirmed acquisition, priced at a steep premium. Watching final acceptance levels through October 6 before judging whether the price paid was justified.
