SEBI Settles Case with 3 Individuals in Brightcom Group Ltd (BGL) Case – Explained!

SEBI (India’s stock market regulator) found financial irregularities in the books of Brightcom Group Ltd (BGL) after getting complaints between Oct 2020–Mar 2021. SEBI investigated BGL’s accounts from FY 2014-15 to 2019-20 and found false/misleading financial reporting. In Feb 2025, SEBI imposed: • ₹34 crore total fine on BGL, its promoters & officials. • ₹15 crore on CMD M Suresh Kumar Reddy & Director Vijay Kancharla. • ₹4 crore on BGL + 2 ex-CFOs. Recently, 3 individuals settled the case with SEBI by paying fines without admitting guilt: 1. Dr Jayalakshmi Kumari (Ex-Audit Committee Member): • Didn't ensure financials were fair & accurate. • Settled by paying ₹12.35 lakh. • Banned from working with BGL/affiliates for 2 years. 2. K Anusha (Former Compliance Officer): • Failed to properly disclose shareholding data to exchanges. • Paid ₹10.73 lakh. • Banned from BGL for 1 year. 3. V Sri Lakshmi (Former Compliance Officer): • Issued misleading press release about an internal auditor. • Also failed on shareholding disclosures. • Paid ₹12.35 lakh. • Banned for 2 years. What’s a SEBI Settlement? It allows accused individuals to close cases by paying a penalty without admitting or denying guilt. Key Lesson: Audit & compliance roles carry serious responsibility. Mistakes or lapses can lead to legal action, penalties, and bans — even years later!
