Sun Pharma Acquires Checkpoint Therapeutics for $355 Million
What happened? Sun Pharmaceutical Industries has completed its acquisition of Checkpoint Therapeutics, a U.S.-based cancer drug company listed on Nasdaq. Deal Highlights: • Valued at $355 million (cash + future milestone payments). • Sun Pharma paid $4.10 per share plus a possible $0.70 extra if certain goals are met. • The deal gives Sun Pharma ownership of UNLOXCYT™, a key cancer treatment. Why is this important? UNLOXCYT™ is the first and only FDA-approved drug of its kind (anti-PD-L1) for advanced skin cancer (cutaneous squamous cell carcinoma). This strengthens Sun Pharma’s presence in cancer and skin disease treatments, a fast-growing area in healthcare. Sun Pharma’s Strategy: • Expanding its specialty medicines business globally. • Focused on dermatology, eye care, and cancer treatments. • These areas already make up 18% of its total sales. Controversy: A Checkpoint investor filed a lawsuit in Delaware, questioning the fairness and transparency of the deal, especially the role of Fortress Biotech, a major stakeholder in Checkpoint. However, the deal still went through after a shareholder vote on May 28 and closed on May 30. Bottom Line: This move helps Sun Pharma grow its innovative cancer treatment portfolio and bring new therapies to patients worldwide.
