Amber Enterprises India Limited (BSE: 540902 | NSE: AMBER) has taken a significant step towards strengthening its electronics business by executing transaction agreements with ILJIN Electronics (India) Pvt. Ltd., a material subsidiary, and other investors.
Under the agreements, ILJIN will raise ā¹100 crore through the issuance of 1,53,653 Compulsorily Convertible Preference Shares (CCPS). The funds are aimed at driving both organic and inorganic expansion in the electronics segment.
Currently, Amber holds 90.22% of ILJINās equity. Post-issuance, this stake will dilute, with further details on shareholding changes expected after CCPS conversion, which will happen at a mutually agreed price.
The investors involved, including Incred Growth Partners Fund I and Incred Wealth and Investment Services, are independent entities and not linked to Amberās promoter group. The transaction is structured with standard investor rights, and no related-party transaction concerns arise.
This development reinforces Amberās commitment to expanding its electronics footprint while maintaining governance and compliance as per SEBI regulations.
