BPCL’s Mozambique LNG Project Restructuring: Aligning for Global Scale

Mumbai, August 26, 2025 – Bharat Petroleum Corporation Limited (BPCL) has announced a major restructuring move in its overseas portfolio through its subsidiary Bharat PetroResources Limited (BPRL). The focus is on the Golfinho-Atum Project in Mozambique’s Rovuma Basin (Area 1), one of the largest LNG developments globally. Under the new structure: BPRL Ventures Mozambique BV (a step-down subsidiary of BPCL) will transfer relevant project assets to Moz LNG1 AssetCo Limitada. A new holding framework is being established with Moz HoldCo and AssetCo, streamlining ownership and operations. BPRL will maintain its 10% participating interest in the project through equity in Moz HoldCo. The restructuring aligns with customary international project financing structures to ensure better accounting treatment, regulatory compliance, and enhanced project flexibility. 📊 Financial Impact: The project’s cost is estimated at USD 10 billion, with BPRL’s share at approximately USD 1 billion (~₹8,600 crore). Effective transfer of assets is expected by Q2–Q3 FY2025-26.
