Grasim Acquires 26% Stake in Renewable Energy SPVs for Captive Power Use
Mumbai, November 8, 2025: Grasim Industries Limited, the flagship company of the Aditya Birla Group, has announced the acquisition of a 26% equity stake in two Special Purpose Vehicles (SPVs) promoted by Pro-Zeal Green Power to source renewable energy for its manufacturing units in Gujarat and Andhra Pradesh.
In a regulatory filing, the company said it has executed Share Subscription-cum-Shareholders’ Agreements and Power Purchase Agreements (PPAs) with Pro-Zeal Green Power Eighteen Private Limited and Pro-Zeal Green Power Nineteen Private Limited to procure renewable energy as a captive user for its Vilayat Plant (Gujarat) and Balabhadrapuram Plant (Andhra Pradesh).
The investment aims to meet Grasim’s green energy requirements, optimize power costs, and ensure compliance with captive consumption norms under the Electricity Act. The proposed acquisition is not a related party transaction and involves a cash consideration of up to ₹20.5 crore for a 26% equity stake in each SPV.
The SPVs are developing hybrid wind-solar projects with a capacity of about 21 MW, and the acquisition is expected to be completed within 30 days. The move strengthens Grasim’s sustainability roadmap and supports the Aditya Birla Group’s decarbonization strategy across manufacturing operations.
