Paytm Acquires Majority Stake in Foster Payment Networks for ₹55.2 Crore

One 97 Communications Limited (Paytm) has announced the acquisition of a 90.01% equity stake in Foster Payment Networks Private Limited from its group entity Paytm Financial Services Limited (PFSL) for ₹55.20 crore, as part of its ongoing internal restructuring and consolidation efforts. The transaction, executed through a share purchase agreement on October 10, 2025, values the deal at fair value NAV as of September 30, 2025. Following the acquisition, Foster will transition from being an associate company to a subsidiary of Paytm. The company also plans to acquire the remaining 9.99% stake, valued at approximately ₹6.20 crore, from other shareholders by December 31, 2025, making Foster a wholly owned subsidiary. The acquisition, categorized as a related party transaction, was conducted on an arm’s length basis and does not require any regulatory or government approvals. The consideration for the deal will be paid entirely in cash. Incorporated on February 23, 2021, Foster Payment Networks operates in technology services with an authorized and paid-up capital of ₹50 crore. The company reported total income of ₹4.12 crore in FY25, ₹4.22 crore in FY24, and ₹2.54 crore in FY23, reflecting consistent operational performance. Paytm stated that the move is part of its strategic realignment to simplify the corporate structure and strengthen control over its technology-driven subsidiaries, supporting long-term growth in the digital payments ecosystem.
