Devyani–Sapphire Merger: QSR Scale and Synergies

is in focus after Devyani International and Sapphire Foods India jointly filed an application with the Competition Commission of India for the proposed merger of Sapphire Foods into Devyani International. The filing on September 10 marks another important step in the regulatory approval process. The merger aims to bring two major QSR platforms under a single listed entity, creating greater scale across brands, geographies and store networks. The combined business is expected to benefit from potential synergies in procurement, supply chain, technology, shared services and operating infrastructure. Devyani has a strong presence across brands such as KFC, Pizza Hut and Costa Coffee, while Sapphire operates KFC, Pizza Hut and other international QSR brands. The proposed share-swap ratio remains 177 Devyani shares for every 100 Sapphire Foods shares. The scheme was revised after Sapphire Foods Mauritius and Arctic International mutually terminated their proposed secondary stake sale, but the key merger terms remained unchanged.
