Anupam Rasayan Approves ₹160 Crore NCD Issue

Anupam Rasayan India Ltd. has approved the issuance of up to ₹160 crore worth of secured, rated, unlisted and redeemable Non-Convertible Debentures (NCDs) through a private placement. The issue comprises 16,000 NCDs, each having a face value of ₹1 lakh, and will be allotted to Aditya Birla Capital Limited. The NCDs carry a 10.25% annual coupon rate and have a tenure of 13 months, with maturity scheduled for October 21, 2027. The company plans to utilise the proceeds primarily for repayment of existing debt facilities, investment in group companies and general corporate purposes. The NCDs are secured through, among other arrangements, a first-ranking pledge over specified promoter-held shares and a charge over an escrow account. My View: In my view, the fundraise is notable because the company is using fresh debt partly for repayment of existing borrowings while also retaining funds for investments and general corporate requirements. This could provide flexibility in managing its funding requirements. At the same time, the 10.25% coupon rate represents an additional interest obligation, so the eventual impact on profitability will depend on how effectively the funds are deployed and whether the refinancing results in better overall capital management. I would therefore track the company's subsequent disclosures on debt repayment, utilisation of funds and investments in group companies to assess the financial impact of this fundraise.
