Avantel Plans Merger of Wholly Owned Subsidiary

AVANTEL
Avantel Limited has announced that its Board of Directors will meet on September 18, 2026, to consider and approve a proposed Scheme of Amalgamation involving its wholly owned subsidiary, Imeds Global Private Limited. Under the proposed scheme, Imeds Global is expected to be merged into Avantel Limited. Since Imeds Global is already a wholly owned subsidiary, the proposed consolidation is aimed at simplifying the group's corporate structure and bringing the subsidiary's operations directly under the listed entity. The company disclosed the upcoming board meeting under Regulation 29 of the SEBI Listing Obligations and Disclosure Requirements (LODR) Regulations. Avantel has also closed its trading window from September 13 until 48 hours after the outcome of the board meeting is announced. The proposed merger comes at a time when Avantel is expanding its presence in defence electronics, satellite communication and wireless communication solutions. The company recently secured a ₹117.88 crore order from the Defence Research and Development Organisation (DRDO) for the development, installation and commissioning of a Ground Segment Hub for voice and data communication. The DRDO contract carries a 36-month warranty period extending to February 2029, adding to Avantel's recent order pipeline. The company has been receiving orders from defence establishments and other industrial customers as it expands its satellite communication and defence technology capabilities. The September 18 board meeting will therefore be important for investors, as the company is expected to provide further details regarding the proposed merger and its structure.
