Indian Metals & Ferro Alloys Limited (IMFA) voluntarily filed a compounding application under Section 441 of the Companies Act, 2013 on 24 June 2024, addressing non-disclosures in the Directors' Report for FY 2018-19 and FY 2019-20. These included the non-recognition of income from interest on unsecured loans to a subsidiary and the absence of disclosures regarding related party contracts in Form AOC-2. On 16 December 2025, the Regional Director, Eastern Region, Ministry of Corporate Affairs, reviewed the application and issued an order on 27 December 2025, imposing a compounding fee of Rs 33,00,000 on the company and its current and former Key Managerial Personnel (KMPs). IMFA has paid the fee, and the company confirmed that the order has no material impact on its financial, operational, or other activities.
