BSE: A Historic Giant on a New Growth Path—But Is It Good for Shareholders?

Founded in 1875, the Bombay Stock Exchange (BSE) is Asia’s oldest trading platform. Although it was once overshadowed by the NSE in equity trading volumes, BSE has recently seen a revival. The booming IPO market, a flood of new retail investors, and a rally in small- and mid-cap shares have boosted BSE’s cash market activity. In the past three years, BSE's revenue grew at a strong 56% CAGR and profit at 72% CAGR. In FY25, over 80 companies launched IPOs, raising significant funds, and BSE registered over 22 crore investors. The FY25 revenue stood at ₹3,212 crore while net profit jumped to ₹1,389 crore, up 137% from the previous year. Operating margin improved from 45% in FY24 to 58%. Over the last three years, the share price leapt at a 119% CAGR with a 22% return on equity. Most of BSE’s income comes from listing and compliance fees, along with its valuable stake in Central Depository Services Limited (CDSL). To boost growth, BSE revamped its derivatives segment in December 2023, introducing smaller lot sizes and wider indices. This move saw F&O trading volumes jump seven times in six months, though SEBI has flagged concerns over unusually high options turnover. BSE's market cap surged to ₹97,930 crore, with share prices rising 182% in a year. But there are risks: SEBI may limit options trading or require higher deposits, which could slow growth. Sky-high IPO valuations may reduce investor appetite, impacting future revenue. Heavy reliance on CDSL means a slowdown there could hurt BSE’s value. Looking ahead, BSE’s sustained growth hinges on breaking NSE’s derivatives dominance and maintaining its appeal to investors. While the company’s recent performance is promising for shareholders, regulatory changes and fierce competition bring real risks. For investors, BSE offers strong potential—but its journey will need careful watching as both opportunities and challenges grow.
